1. Agreement to Terms

By creating an account, accessing, or using the Playlist Guard service (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service. Your use of our Service is also subject to our Privacy Policy, which is incorporated by reference.

2. Service Description

Playlist Guard is a Software-as-a-Service (SaaS) platform that monitors your YouTube and YouTube Music playlists using Google's YouTube Data API v3 with read-only access (https://www.googleapis.com/auth/youtube.readonly scope). The Service creates periodic backups of your playlist metadata to help you track deleted, removed, or unavailable content over time.

Core Features:

  • Automated monitoring of public and private YouTube playlists
  • Historical snapshots of playlist content and metadata
  • Detection and reporting of deleted or unavailable videos
  • Dashboard showing playlist changes over time
  • Export capabilities for backup data

3. Account Registration and Security

3.1 Eligibility and Account Creation

To use the Service, you must:

  • Be at least 18 years of age or have parental consent
  • Provide accurate, current, and complete registration information
  • Maintain a valid Google account for YouTube data access
  • Comply with all applicable laws and YouTube's Terms of Service
  • Have the legal capacity to enter into binding agreements

3.2 Account Security and Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account, authorized or unauthorized
  • Immediately notifying us of any suspected security breaches or unauthorized access
  • Using strong, unique passwords and enabling two-factor authentication when available
  • Ensuring your contact information remains current for important service communications

3.3 Google OAuth Authorization

To monitor private playlists, you must grant explicit permission through Google's OAuth consent screen. You can revoke this access at any time through your Google Account settings. Revoking access will stop monitoring of private playlists but won't affect your subscription billing. We only request the minimum necessary permissions (read-only access to your YouTube data).

4. Subscription Plans, Billing, and Trial Period

4.1 Pro Plan Structure

  • Annual Subscription: $59.00 USD per year
  • Tax Calculation: Applicable taxes added based on your billing location
  • Single User License: Account access limited to the registered user
  • Feature Access: Full monitoring capabilities for unlimited playlists

4.2 Free Trial Terms

  • Duration: 15 calendar days from date of first subscription
  • Full Access: Complete Pro Plan features during trial period
  • Payment Method Required: Valid payment method must be provided to start trial
  • No Initial Charge: You will not be billed during the trial period
  • Trial Reminder: Email notification sent 2 days before trial expiration
  • Cancellation: Full cancellation available anytime during trial with no charges

4.3 Billing and Payment Processing

  • Payment Processor: All transactions processed securely by Dodo Payments
  • Automatic Billing: Unless canceled, subscription begins after trial period ends
  • Annual Renewal: Subscription automatically renews each year unless canceled
  • Payment Methods: Credit cards and other methods supported by Dodo Payments
  • Currency: All pricing in USD; currency conversion handled by your payment provider
  • Failed Payments: Account access may be suspended for payment failures; multiple retry attempts made

4.4 Pricing Changes and Notifications

We reserve the right to modify subscription fees with 30 days' written notice. Price changes take effect at your next renewal date, not mid-subscription. Existing subscribers maintain current pricing through their active billing period. Special promotional pricing may be offered at our discretion.

5. Cancellation, Refunds, and Account Management

5.1 Trial Period Cancellation

  • Cancel anytime during the 15-day trial with no charges
  • Cancellation must be completed before trial expiration date and time
  • Account converts to limited functionality after trial cancellation
  • No refunds necessary as no charges occur during trial

5.2 Post-Trial Cancellation Policy

Subscription Cancellation:

  • Cancel anytime through your account settings or by contacting support
  • Cancellation takes effect at the end of your current annual billing period
  • You retain full access to Pro features until the end of your paid period
  • Account converts to limited functionality (if available) after subscription expires

No Refund Policy:

  • All payments are final and non-refundable for any reason
  • No partial refunds for unused portions of subscription periods
  • No refunds for dissatisfaction, non-use, or changed circumstances
  • Refund exceptions may be made solely at our discretion for technical issues we cannot resolve

5.3 Account Termination by Us

We may suspend or terminate your account immediately for:

  • Material breach of these Terms or our policies
  • Non-payment of fees after reasonable notice and opportunity to cure
  • Fraudulent activity or misuse of the Service
  • Violation of YouTube's Terms of Service or Google's policies
  • Legal requirements or to protect our rights and users

6. YouTube Data Access and Usage Compliance

6.1 Scope of Access

Our Service uses the YouTube Data API v3 with the https://www.googleapis.com/auth/youtube.readonly scope, which provides read-only access to:

  • Your playlist information and metadata
  • Video details within your playlists
  • Channel information associated with playlists
  • Subscription data relevant to playlist monitoring

This scope explicitly does not allow us to modify, upload, delete, or manage any of your YouTube content.

6.2 Data Usage Limitations

We use your YouTube data exclusively to:

  • Monitor your selected playlists for content changes
  • Create historical snapshots for comparison purposes
  • Generate reports on deleted or unavailable content
  • Provide the core functionality of our Service

We do not use your YouTube data for:

  • Advertising or marketing to third parties
  • Creating derivative works or content
  • Any purpose beyond our stated service functionality
  • Sharing with unauthorized third parties

6.3 Compliance with Google Policies

Our Service complies with Google's API Services User Data Policy and Limited Use requirements. We respect all YouTube community guidelines and terms of service. Any violations of Google's policies may result in immediate account termination. We cooperate fully with Google's security and compliance reviews.

7. Acceptable Use Policy and Restrictions

7.1 Permitted Uses

You may use the Service to:

  • Monitor your own playlists for personal, non-commercial purposes
  • Track changes in your playlist content over time
  • Export your playlist backup data for personal use
  • Access Service features included in your subscription level

7.2 Prohibited Activities

You agree not to:

  • Use the Service to monitor playlists belonging to others without explicit permission
  • Attempt to circumvent any Service limitations or access controls
  • Reverse engineer, decompile, disassemble, or derive source code from the Service
  • Use automated scripts, bots, or tools to access the Service beyond normal usage
  • Interfere with or disrupt the Service infrastructure or other users' access
  • Violate any applicable laws, regulations, or third-party rights
  • Share your account credentials with others or create multiple accounts
  • Use the Service for any commercial purpose without our written consent
  • Attempt to access data beyond the scope of your authorized permissions

7.3 Content and Conduct Standards

  • Use the Service in compliance with YouTube's Community Guidelines and Terms of Service
  • Respect intellectual property rights and privacy of content creators
  • Report any technical issues or suspected violations to our support team
  • Maintain respectful communication in all interactions with our support team

8. Intellectual Property Rights and Licenses

8.1 Our Intellectual Property

The Service, including its software architecture, user interface design, algorithms, text, graphics, logos, and other content, is the exclusive property of Playlist Guard and its licensors. All intellectual property rights are reserved and protected by copyright, trademark, and other applicable laws.

8.2 Your Data and Content

  • You retain all ownership rights to your personal data and playlist information
  • You grant us a limited, non-exclusive license to access and process your data solely to provide the Service
  • This license terminates when you delete your account or revoke access permissions
  • We do not claim ownership of any content within your playlists or your YouTube data

8.3 Limited License to Use Service

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service in accordance with these Terms
  • Use Service features included in your subscription level
  • Export your own data for personal use

This license does not permit you to: sublicense, sell, or distribute access to the Service; use the Service beyond the scope of your subscription; create competing or derivative services using our intellectual property.

9. Service Level Commitments and Support

9.1 Service Availability

  • Uptime Target: We strive to maintain 99.5% service uptime, calculated monthly
  • Exclusions: Uptime calculation excludes scheduled maintenance, force majeure events, and third-party service outages (including Google API disruptions)
  • Maintenance Windows: Scheduled maintenance announced at least 24 hours in advance when possible
  • Status Updates: Service status information available on our website and via email notifications

9.2 Support Response Standards

  • General Inquiries: Response within 48 business hours
  • Technical Issues: Response within 24 business hours for Pro Plan subscribers
  • Billing Questions: Response within 24 business hours
  • Account Access Problems: Priority response within 12 business hours
  • Support Channels: Email support and online help documentation available

9.3 Service Limitations and Dependencies

Service functionality depends on continued access to Google's YouTube Data API. Monitoring accuracy subject to YouTube's data availability and API limitations. We cannot guarantee detection of all playlist changes due to platform limitations. Historical data accuracy depends on the frequency of our monitoring cycles.

10. Disclaimers and Limitation of Liability

10.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Guarantees of uninterrupted, timely, secure, or error-free operation
  • Accuracy, reliability, or completeness of data or results
  • Compatibility with your devices, software, or network configurations

10.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • Damages Cap: Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim
  • Excluded Damages: We are not liable for indirect, incidental, special, consequential, or punitive damages
  • Data Loss: We are not responsible for any loss of data, though we maintain reasonable backup procedures
  • Third-Party Actions: We are not liable for actions of third parties, including Google/YouTube policy changes
  • Service Interruptions: No liability for temporary unavailability or performance issues

10.3 Essential Service Limitations

We cannot control YouTube's policies, API changes, or data availability. We are not responsible for content removed by creators or YouTube's automated systems. We cannot guarantee preservation of deleted content beyond our monitoring periods. Service accuracy depends on the timing of our monitoring cycles and API responses.

11. Indemnification and Legal Protection

11.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Playlist Guard, its officers, directors, employees, contractors, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable laws
  • Your violation of any third-party rights, including intellectual property rights
  • Any false, misleading, or inaccurate information you provide
  • Your breach of any representations or warranties made in these Terms

11.2 Our Defense of Claims

We will defend you against third-party claims that the Service, when used in accordance with these Terms, infringes valid patents, copyrights, or trademarks, provided that: You promptly notify us in writing of any such claim; You give us sole control of the defense and settlement; You provide reasonable cooperation in the defense. Our maximum liability is limited to the fees paid by you in the preceding 12 months.

12. Force Majeure and Uncontrollable Events

We will not be liable for any delay or failure to perform our obligations due to events beyond our reasonable control, including but not limited to:

  • Natural disasters, pandemics, acts of God, or severe weather events
  • War, terrorism, civil unrest, or government actions
  • Internet or telecommunications outages affecting service delivery
  • Third-party service provider failures, including Google API disruptions
  • Cyberattacks, data breaches, or security incidents affecting our infrastructure
  • Changes in laws, regulations, or government policies affecting our operations
  • Labor disputes, strikes, or other work stoppages

During force majeure events, we will make reasonable efforts to minimize service disruption and communicate with users about expected resolution timelines.

13. Dispute Resolution and Governing Law

13.1 Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict of law principles. Any legal actions or proceedings must be brought exclusively in the courts located in India, and you consent to the jurisdiction of such courts.

13.2 Mandatory Arbitration

For individual disputes under $10,000: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service must be resolved through binding individual arbitration rather than in court, except for small claims court actions and intellectual property disputes.

Arbitration Process:

  • Conducted by a neutral arbitrator under the rules
  • Language: English
  • Costs: Each party bears their own costs unless otherwise awarded by the arbitrator

13.3 Class Action Waiver

You agree that any arbitration or legal proceeding must be conducted in your individual capacity and not as part of a class action, collective action, or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13.4 Exceptions to Arbitration

The following disputes are exempt from mandatory arbitration:

  • Small claims court actions under the jurisdictional limit
  • Intellectual property infringement claims
  • Injunctive relief for violations of these Terms
  • Disputes related to the validity or enforceability of intellectual property rights

14. General Provisions and Miscellaneous

14.1 Modifications to Terms

We may modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated by:

  • Email notification to your registered email address
  • Prominent notice on our website and within the Service
  • In-app notifications when you next access the Service

For significant changes affecting your rights, 30 days' advance notice. Continued use after notification constitutes acceptance of the modified Terms.

14.2 Entire Agreement and Integration

These Terms, together with our Privacy Policy and any applicable order forms or subscription agreements, constitute the entire agreement between you and Playlist Guard. They supersede all prior negotiations, representations, or agreements relating to the subject matter.

14.3 Severability and Enforceability

If any provision of these Terms is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. Invalid provisions will be modified to be enforceable while preserving the original intent.

14.4 Waiver and Non-Enforcement

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver must be in writing and signed by our authorized representative to be effective.

14.5 Assignment and Transfer

Your Rights:

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.

Our Rights:

We may assign our rights and obligations to any affiliate or successor entity without restriction, including in mergers, acquisitions, or sales of assets.

Binding Effect:

These Terms are binding upon and inure to the benefit of permitted successors and assigns.

14.6 Notices and Communications

All notices will be sent to the email address associated with your account or posted prominently on our website or within the Service.

All notices must be sent in writing to support@playlistguard.com or our mailing address listed below.

Deemed Delivery:

Email notices are deemed delivered when sent; postal notices when received.

14.7 Survival of Terms

The following provisions survive termination of these Terms: intellectual property rights, limitation of liability, indemnification, dispute resolution, governing law, and any obligations that by their nature should survive termination.
